All users of the Software agree and acknowledge that the Licensors may collect and use data about who uses the Software and their location for certain purposes. Please read the Licence terms for details of how and why we may use such data.
The Licensors give no warranty regarding the accuracy, completeness, currency or suitability of the Software for any particular purpose.

End User Licence – Non-Commercial Use
This end-user licence agreement (‘Licence’) is a legal agreement between you and any organisation on whose behalf you act (‘You’) and
  • the Sheep CRC Limited (ACN 125 726 847) of CJ Hawkins Homestead, University of New England, Armidale, Australia (&‘Sheep CRC’); and
  • Department of Primary Industries for and on behalf of the State of New South Wales located at 161 Kite Street Orange NSW 2800 (‘DPI’),
(the ‘Licensors’)
regarding Your use of the software covered by this Licence (the ‘Software’).
1 The Licence
1.1 The Licensors grant You a non-transferable and non-exclusive right to use the Software (being any software and all related programs, data, components and printed or electronic documentation You download, install or copy from the Sheep CRC website) in accordance with the terms of this Licence. The Licensors reserve the right to refuse to licence the Software to any person without giving reasons.
1.2 The Software is provided to You free of charge in consideration for You using it in accordance with the terms of this Licence
2 Your warranties and acknowledgements
2.1 If this Licence is entered into on behalf of a corporation or other entity the individual agreeing to these terms warrants that he or she is authorised to enter the Licence on behalf of that corporation or other entity.
2.2 This Licence binds You, any employees, consultants and any other persons who use the software on Your behalf. You must ensure that all persons using the Software on Your behalf understand and abide by this Licence.
2.3 You agree and acknowledge that that You have relied on Your own skill and judgement in deciding to use the Software and that no representation has been made regarding any benefit to be obtained from the use of the Software. You accept responsibility for the selection of Software to achieve Your intended results, and for the installation, use and results obtained from the Software.
3 Intellectual property rights
3.1 All intellectual property rights in the Software (or any part of it, whether or not incorporated into any other software), are and remain under the ownership and control of the Licensors (or such third parties who have authorised the Licensors to licence the Software).
3.2 You must not remove or alter any logo, copyright or other proprietary notices, symbols or labels in the Software.
3.3 You must not use the name, any trademark or logo of the Licensors or any derivative thereof or claim any sponsorship, endorsement, approval or affiliation or other association with the Licensors, unless the Licensors authorise you in writing to do so.
4 Your rights to use the Software
4.1 You may use the Software only for personal use or for internal use in the ordinary course of Your business, subject to the limitations set out below.
4.2 You may install, access, reproduce and use copies of the Software on equipment under Your control.
4.3 You must not rent, lease, copy, distribute, sell, licence, transfer or otherwise commercialise or make the Software available for use by a third party. Without limiting the foregoing You must not commercialise the Software by resale or re-packaging it within other software for further distribution or by creating and distributing works to other persons which contain, reproduce, use or link to the Software.
4.4 You must not decompile, reverse engineer, disassemble, translate, tamper with the Software or make any attempt to discover the source code of the Software.
4.5 You must not modify, network or create derivative works based upon the Software or its associated documentation in whole or in part, nor permit any other party to do so.
4.6 You may make copies of the Software as reasonably required for backup purposes, provided all copies are kept in safe keeping with a notice identifying the Licensors as owners of the Software.
4.7 If You wish to use the Software for commercial purposes and/or in other products, You must apply in writing to the Licensors for a further licence for such uses.
5 Acknowledgement in Publications
5.1 If the Software or use of the Software contributes to or informs any published article, paper, section or chapter, including electronic publications, You must acknowledge the Software and the Licensors in the publication.
6 Disclaimers and limitations of liability
6.1 To the extent permitted by law the Licensors (and any other owners of the Software) exclude all terms, conditions, warranties, undertakings, inducements or representations whether express, implied, statutory or otherwise relating in any way to the Software.
6.2 Without limiting clause 6.1 the Licensors (and any other owners of the Software) make no warranty or representation, either express or implied, that the use of the Software will not infringe the intellectual property rights of a third party, or with respect to:
  1. the quality, performance or fitness of the Software for any purpose;
  2. that any functions contained in the Software will meet Your requirements or that its operations will be error free;
  3. the results of or any use of the Software in whole or in part;
  4. the accuracy, reliability or content of any data, information service or goods obtained through any use of the Software in whole or in part;
  5. the future support and development of the Software (from time to time the Licensors may make available updated versions of the Software and the terms of this Licence shall apply to any such updates, however nothing in this Licence will be deemed to impose any obligation on the Licensors to create and make available such updates).
6.3 If liability of the Licensors (or any other owners of the Software) in relation to the Software cannot be excluded the Licensors (and any other owners) limit their liability to the extent permitted by law to, at the option of the Licensors, the replacement, repair or resupply of the Software or the cost of the Software.
6.4 The Licensors (or any other owners of the Software) shall not be liable for any indirect or consequential damages (including but not limited to damages for loss of business profits, business interruption, loss of business information or goodwill, loss or corruption of data or other pecuniary loss) under any cause of action in connection with the use or inability to use the Software, or defect in the Software.
7 Term of the Licence
7.1 This Licence to use the Software exists from the date You agree to these terms and conditions (by registering as a user and/or by downloading, opening, installing or otherwise using any part of the Software), until terminated.
7.2 You may terminate the Licence at any time by destroying all copies of the Software and its documentation. Upon termination of the Licence by You, You must notify the Sheep CRC in writing using the email contact details on the Sheep CRC website (currently sheepcrc@sheepcrc.org.au).
7.3 The Licensors may terminate this Licence at any time by notice to You.
7.4 The Licence to use the Software terminates immediately, without notice to You, if You breach any term of this Licence.
7.5 When this Licence terminates or if the Software is obtained from any source other than from the Licensors, Your rights to the Software cease and You must destroy or return to the Licensors the original and all copies of the software and documentation and cease and desist from any further use of the Software.
7.6 Intellectual property protections, disclaimers of warranty and limitation of damages will survive termination. The failure or delay of the Licensors to exercise any of its rights upon any breach of this Licence shall not be deemed to be a waiver of those rights or of the breach. If any provision of this Licence is held to be invalid, the remainder of the Licence will remain in full force and effect.
8 Collection and use of data (including some personal information) by the Licensors
8.1 The Licensors may collect and analyse data related to downloads of the Software and usage of the Sheep CRC website. Such data may include some personally identifiable information and may be shared between the Licensors. The Licensors will only use personal information for a lawful purpose which directly relates to their lawful operations or functions. Please refer to the Privacy Statement on the Sheep CRC website (available here: http://www.sheepcrc.org.au/privacy-policy.php ), in particular the section headed ‘How does the Sheep CRC use the information it collects’ (which is hereby deemed to apply to both Licensors, except that DPI is subject to the NSW Privacy and Personal Information Protection Act 1998 and related NSW Government privacy practices and not the Commonwealth Privacy Act and National Privacy Principles), for a detailed explanation of how the Licensors may use the information collected.
9 Changes to the Licence
9.1 From time to time, the Licensors may need to change the terms of this Licence to reflect our changing business, if we are required by law, for security reasons or for technical or infrastructure reasons. The Licensors may change the terms at any time without notice to You and You agree to be bound by such changes. The changed Terms will apply from the date on which they are posted on the Sheep CRC website.
10 Applicable law
10.1 This Licence is governed by the laws of the State of New South Wales. You submit to the exclusive jurisdiction of the courts of the State of New South Wales and agree that any lawsuit must be heard in those courts.
