Terms and Conditions

1.        

Interpretation

In these terms and conditions:

You and Your means the person or entity that signs a Form to order a Test;

Us, Ours and We means Sheep CRC Limited ACN 125 726 847;

Fee means the fee that We charge You for performing a Test that You have ordered;

Form means the form or forms as varied by Us from time to time and which has been signed by You which We require from You to order a Test;

Intellectual Property or IP includes all copyright, all rights in relation to inventions (including patents), trade marks (including service marks), designs, all other rights resulting from intellectual activity in the industrial or scientific fields and any right to have confidential information kept confidential, but does not include Moral Rights or rights of performers;

Parentage Test means the Test more fully described in Annexure A;

Poll Test means the Test more fully described in Annexure B;

Sheep Genomics Test means the Test more fully described in Annexure C;

Test or Tests means separately and together Parentage Test, Poll Test and Sheep Genomics Test which You request Us to perform

 

2.  Ordering Tests
2.1       To order a Test You must follow a procedure as determined by Us from time to time.
2.2 You must have an account with Us to order any Test.   We will notify You as to how to set up an account with Us.
2.3 Any Form that We require You to complete to order a Test must be fully completed by You.  We reserve the right not to process any order for a Test if a Form is not complete to Our absolute satisfaction.
2.4 When Your order is received by Us We will send to You instructions as to how to obtain samples and then to send them to Us to enable a Test to be undertaken.  At the same time We will send to You instructions as to payment of the Fee.
2.5 To order a Sheep Genomics Test You must be a member of Sheep Genetics and the animals from where the genetic material has been taken must be recorded with a minimum of sire pedigree in either LAMBPLAN or MERINOSELECT.
2.6 We will not process any order for a Sheep Genomics Test unless the criteria referred to in clause 2.5 are met to our satisfaction.
2.7 When ordering any Tests you are promising to Us that You have the legal right to order that Test.

 

3.  Fee
3.1       We will not undertake any Test unless We have received the Fee.
3.2 The Fee may be varied by Us at any time without notice to you.
3.3 We will determine in our absolute discretion the method by which the Fee may be paid and all Fees must be paid using the method or methods as determined by Us.

 

4.  Undertaking the Test
4.1       We warrant that We will carry out the Test with reasonable care and skill.
4.2 We do not warrant that We will be able to obtain results for every Test that We undertake due to factors beyond Our control including but not limited to contamination of samples, blood samples being insufficient to extract DNA, batch sizes being too small to allow the algorithms We use to work effectively and animals being too closely related.
4.3 We will not refund any Fee to You if We are not able to obtain a result.
4.4 We do not guarantee that the results of a Test will be available within the indicative time frame.
4.5 We reserve the right at Our absolute discretion to sub-contract the carrying out of any Tests.

 

5.  Ownership of Test results
5.1       In undertaking a Test on Your behalf We will be using techniques, procedures and knowledge developed by Us or for which We have a licence.
5.2 The IP in any and all results of any Tests We perform at Your request will vest with Us on their creation.
5.3 We will grant to You a royalty free, perpetual, non-exclusive licence to use the Test results.

 

6.   Acknowledgements by You
6.1  You acknowledge when you order a Test with Us that:
6.1.1   We do not guarantee that the Test will be performed within any particular time frame;
6.1.2 We do not guarantee that the outcome of a Test will produce a result and no Fee is refundable to You in these circumstances;
6.1.3 We will own the IP in the results of the Test and You will have a perpetual, royalty free, non-exclusive licence to use the Test results;
6.1.4 You have not relied on any promise, representation or warranty made by Us or any third party as to the Tests other than those that are set out in these terms and conditions.

 

7.         Exclusions and Limitations of Liability
7.1 We make no express warranty under these terms and conditions except under clause 4.
7.2 We do not exclude or limit the application of any provision of any statute where to do so would contravene that statute or cause any part of this clause to be void.
7.3 We exclude:
7.3.1 from these terms and conditions all conditions, warranties and terms implied by statute, general law or custom, except any implied condition or warranty the exclusion of which would contravene any statute or cause this clause to be void (“Non-excludable Condition”);
7.3.2

subject to clause 7.4.3, all liability to You in contract for consequential or indirect damages arising out of or in connection with these terms and conditions even if:

  1. We knew they were possible; or
  2. they were otherwise foreseeable,

including without limitation lost profits and damage suffered as a result of claims by any third person such as a client or customer of Yours; and

7.3.3 all liability to You in negligence or other non-contractual causes of action in respect of which liability can be excluded for acts or omissions by Us, Our employees, agents and contractors arising out of or in connection with these terms and conditions.
7.4 Our liability to You under these terms and conditions for breach, for any reason, of :
7.4.1 the warranty given under clause 4 is limited to Our obligations to undertake the Test;
7.4.2 any other express provision of these terms and conditions is limited to AUS$50.00; and
7.4.3 any Non-excludable Condition (other than one implied by any statute) is limited to undertaking the Test again, in respect of which the breach occurred.
7.5 On request by You, We will refund any Fee paid by You for the Tests or Test in respect of which the breach occurred, rather than the remedy referred to in clause 7.4.3.

 

8.         Indemnity
  You indemnify Us against all expenses, losses, damages and costs on a full indemnity basis incurred by or awarded against Us arising directly or indirectly out of any claim of whatsoever nature by any person in relation to:
  1. the use by You of the Test results;
  2. the sale, gift or transfer of any animal, it’s semen, or its progeny in respect of which the Test result relates;
  3. any false, misleading or deceptive conduct by You in relation to the Test results or Your dealings with Us;
  4. any failure by You to comply with Our instructions concerning the collection, identification, labelling, packing and transportation of samples to Us when ordering a Test;
  5. any infringement by You of a third person’s proprietary rights or IP rights relating to an animal, it’s semen, or its progeny for which you have ordered a Test.

   

9.         Governing Law and Jurisdiction
  This document is governed by, and is to be construed in accordance with, the laws of New South Wales and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales and any court hearing appeals from those courts.

 

10.       Severance
  If any provision of these terms and conditions is unenforceable in accordance with its terms, other provisions which are self-sustaining and capable of separate enforcement without regard to the unenforceable provision are, and continue to be, enforceable in accordance with their terms.

 

 

 

Annexure A

Details of Parentage Test

 

The SNP-based Parentage test is based on recent research conducted by the CRC, MLA and the International Sheep Genomic Consortium (ISGC). The Parentage test is suitable for all breeds and can be used by any sheep breeder.

The cost of the test is $17 per sample (plus GST).

The samples along with payment and documentation should be returned to the Genomic Office promptly to ensure that you receive your results as quickly as possible. Results will be reported back to breeders within six weeks of receiving the samples and payment.

Please note that if your flock is enrolled in MERINOSELECT or LAMBPLAN it is your responsibility to submit pedigree information from the parentage test results to Sheep Genetics when you receive them.

The new SNP-based Parentage test has a number of advantages:

The Parentage test can be used for ‘full pedigree’ – that is linking a lamb to its ewe and sire. Alternatively, breeders may choose to only link ram lambs with the rams or lambs with dams. It is very important to collect blood samples from ALL of the animals that need to be matched up if possible. For example, failing to sample one or two sires may make it difficult to assign all of the lambs to their sires. The same applies to sampling ALL ewes if full pedigrees are required.

If AI sires are used, and no blood card samples are available, if these sires have been previously genotyped then these rams need be listed using the 16 digit Sheep Genetics unique ID code on the order form when returning.

If you are using rams that have already been genotyped using the 50K or 12K Sheep Genomic test, these do not need an additional test for use in Parentage analysis. However, you must ensure these rams are listed using the 16 digit code as potential sires on the order form when returning the progeny samples.

If you select TSUs please contact Allflex Australia Pty Ltd to purchase your TSUs. Please note: TSUs will need to be purchased at an additional cost to the price of the test.
  4. Take the samples as per the instructions; return them along with the order form and payment to the Genomics Office. A receipt will be issued on payment. Please note: samples will not be forwarded for testing until payment is made. To avoid delays please make sure tests have been paid for on return of samples.
  5. Parentage tests results will be emailed directly to you within 6 weeks.

 

 

 

Annexure B

Details of Poll Test

 

The Poll test has been developed by the Sheep CRC using measurements on animals in the Information Nucleus Flocks and data from the 50k SNP chip. It is normally used in Merinos, but can also be used in other breeds. 

Identification of polledness only requires sampling individuals of interest. In most situations this involves sampling only the rams and possibly some ewes being selected for a breeding program. The information on poll status of both parents provides a prediction of the progeny’s poll status. The test provides an important opportunity for breeders to identify PH sires and dams that will slow down progress towards a purely poll flock. The attached technical summary explains the nature of the predictive test and the probability of different progeny types based on their parents test results.

The Poll Test is available from the Genomics Office at a cost of $17 (plus GST).

Technical Summary:

Interpretation of Poll test results in Merinos.

Based on Sheep CRC research and data from the Information Nucleus program, a predictive

breeding value for poll status was released for Merino rams entered in Genomics Pilot

Project II and for rams in the Information Nucleus Program.

The breeding value reports that the animal has one of three possible genotypes:

 

This test has been developed using a single SNP on the 50 k SNP panel used in the Sheep CRC Pilot Project. This SNP is not the direct marker, or the actual gene causing polled status. However, it is highly associated with polled and horn phenotypes, and is closely linked to the polled gene in this region, which has been independently confirmed in other studies.

This means that while using this SNP does not result in a simple ‘yes/no’ outcome, sires with the “PP” genotype will produce significantly more offspring with polled status than sires a ‘heterozygous’ “PH” genotype or the “HH” genotype.

As it is a predictive test, it is important to understand the probabilities of different outcomes when mating PP and HH rams to either horned or polled ewes. The table below summarises the probabilities of various poll-horn outcomes associated with the different status of sires and dams.

While not reported, outcomes for PH dams will lie somewhere between the probabilities shown for the PP and HH dams. Animals that have knobs or scurs are neither polled nor horned, and have not been included in the table.

Annexure C

Details of Sheep Genomics Test

 

The Sheep Genomic test has been developed by the Sheep CRC using data from the Information Nucleus Flocks. Through a process of “imputation”, the 12K results can be used to provide similar levels of accuracy to those achieved with the previous 50K product. The 50K will be used to genotype key industry sires, however this activity will be coordinated at industry level at no cost to breeders.

 The Sheep Genomic test is available at a cost of $50 (plus GST). 

The 12K SNP test will predict genomic breeding values for the traits listed in Table 1. The genomic breeding values are then combined with that animal’s Australian Sheep Breeding Values (ASBVs) to generate Research Breeding Values (RBVs).

  6. Parentage is available with the Genomics test for an extra charge of $5.00 (plus GST).
