The Board are accountable to the Members and Participants for the performance of the Company and their responsibilities include setting the Company's strategic direction and monitoring its implementation; ensuring the Company adheres to high standards of ethical and corporate behaviour; setting the Delegations of Authority for Management in relation to approval limits on expenditure, entering contracts or raising commitments; ensuring there are appropriate risk management, internal control and regulatory compliance policies and procedures; approving key Company policies and monitoring compliance; and providing transparency and accountability to the Members and Participants.
